Western Refining Inc., El Paso, and Northern Tier Energy LP, Tempe, Ariz., have completed the merger of Northern Tier into Western (OGJ Online, Dec. 22, 2015).
Northern Tier common unit holders voted to approve the merger with Western in a special meeting on June 23, after which all closing conditions to the merger were satisfied and the transaction completed, the companies said. Final allocation of merger consideration is scheduled to occur on or about June 28, Western said.
In addition to its 131,000-b/d refinery in El Paso and 25,000-b/d refinery near Gallup, NM, Western now owns and operates the 98,000-b/d refinery in St. Paul Park, Minn., formerly run by Northern Tier, according to the capacity data in Western’s latest quarterly earnings report filed to the US Securities & Exchange Commission on May 5.
